Agreement to Terms
By accessing or using the services provided by AINative Studio, you agree to be bound by these Terms of Service and all applicable laws and regulations.
Services
AINative Studio provides AI development, product engineering, and strategic consulting services. The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate Statement of Work (SOW) or project agreement.
Engagement Terms
Project Scope
All projects require a signed SOW that outlines scope, deliverables, timeline, and fees. Changes to scope must be agreed upon in writing and may result in additional fees.
Payment Terms
- Fixed-scope projects: Payment schedule defined in SOW
- Time-and-materials: Monthly invoicing based on hours worked
- Design Sprints: Payment due before sprint kickoff
- Late payments may incur interest charges as permitted by law
Cancellation and Refunds
Cancellation policies vary by service type and will be specified in your SOW. Generally:
- Design Sprints: Refundable up to 7 days before scheduled start
- Development projects: 30-day notice required for cancellation
- Work completed prior to cancellation is non-refundable
Intellectual Property
Client IP
You retain all rights to your pre-existing intellectual property, data, and content provided to us.
Work Product
Upon full payment, you will own all custom code, models, and deliverables created specifically for your project, subject to the following:
- We retain rights to reusable components and frameworks
- Third-party software licenses remain with their respective owners
- We may use your project as a case study (with your permission)
Confidentiality
Both parties agree to keep confidential information disclosed during the engagement confidential and use it only for the purposes of the project.
Warranties and Disclaimers
Service Warranty
We warrant that services will be performed in a professional and workmanlike manner. Development work includes a 30-day warranty against defects from the date of delivery.
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES OR RESULTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AINATIVE STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify and hold harmless AINative Studio from any claims arising from your use of our services or breach of these terms.
Term and Termination
Either party may terminate an engagement for cause with written notice. Upon termination, you will pay for all work completed through the termination date.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AINative Studio is registered, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration.
Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified Terms.
Entire Agreement
These Terms, together with any SOW or project agreement, constitute the entire agreement between you and AINative Studio regarding our services.
